By accessing or using the Bluebird Renewable Energy platform at https://bluebirdsenergy.com (the "Platform"), registering an account, or making any investment through our services, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms applicable to specific features or investment products.
If you do not agree to these Terms, you must not access or use the Platform. These Terms constitute a legally binding agreement between you and Bluebird Renewable Energy ("we", "us", "our"). Your continued use of the Platform following any updates to these Terms constitutes acceptance of the revised terms.
Bluebird Renewable Energy is an investment infrastructure platform that structures access to contracted clean energy assets. The Platform enables eligible investors to review investment opportunities, access documentation, commit capital to Special Purpose Vehicles ("SPVs"), and receive ongoing performance reporting.
The Platform is provided for informational and investment facilitation purposes only. Nothing on the Platform constitutes a solicitation, offer, or recommendation to buy or sell any security, investment product, or financial instrument in any jurisdiction where such solicitation or offer would be unlawful.
Bluebird Renewable Energy reserves the right to modify, suspend, or discontinue any feature or element of the Platform at any time, with or without notice, and shall not be liable for any such modification, suspension, or discontinuation.
To register an account and access investment opportunities, you must: (a) be at least 18 years of age; (b) be a resident of a jurisdiction in which Bluebird Renewable Energy is permitted to operate and offer investments; (c) complete identity verification as part of onboarding in accordance with our applicable procedures; and (d) meet any additional eligibility requirements specified for individual investment products, which may include accredited or sophisticated investor status.
You agree to provide accurate, current, and complete information during registration and to update such information promptly if it changes. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Bluebird Renewable Energy reserves the right to refuse registration, suspend, or terminate accounts at its sole discretion, including where false or misleading information has been provided, where a regulatory requirement so requires, or where we reasonably suspect fraudulent, abusive, or unlawful activity.
Each investment opportunity available on the Platform is governed by the specific terms set out in the applicable offering document, subscription agreement, and SPV documentation provided for that opportunity ("Investment Documents"). In the event of any conflict between these Terms and the Investment Documents, the Investment Documents shall prevail with respect to the specific investment.
Investments are made through participation in ring-fenced Special Purpose Vehicles that hold specific assets. Your investment in an SPV does not constitute a direct ownership interest in the underlying physical asset or in Bluebird Renewable Energy.
Investment returns, including distributions, depend on the financial performance of the underlying assets and are not guaranteed. Target return figures presented on the Platform are projections based on stated assumptions and should not be construed as guarantees or promises of future performance.
Investments made through the Platform are generally illiquid for the duration of the stated investment term. You should not invest any capital that you cannot afford to hold for the stated period. Bluebird Renewable Energy may, at its discretion, facilitate a secondary transfer registry but does not guarantee secondary liquidity.
Investing in clean energy infrastructure involves significant risks. By using the Platform and making investments, you acknowledge and accept the following risks, among others:
You are encouraged to read all investment documentation carefully and to seek independent financial, legal, and tax advice before committing capital.
You agree not to use the Platform in any way that: (a) violates any applicable law or regulation; (b) constitutes fraud, market manipulation, or money laundering; (c) infringes the intellectual property rights of Bluebird Renewable Energy or any third party; (d) introduces malware, viruses, or other harmful code; (e) attempts to gain unauthorised access to any part of the Platform or its systems; or (f) interferes with or disrupts the integrity or performance of the Platform.
Bluebird Renewable Energy reserves the right to investigate and take appropriate legal action against anyone who, in its sole discretion, violates these provisions, including removing content, suspending accounts, and reporting to law enforcement authorities.
All content on the Platform, including text, graphics, logos, data, software, reports, and documentation, is owned by or licensed to Bluebird Renewable Energy and is protected by applicable copyright, trademark, and other intellectual property laws.
You may access and use Platform content solely for your personal investment purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any Platform content without the prior written consent of Bluebird Renewable Energy.
To the fullest extent permitted by applicable law, Bluebird Renewable Energy, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of data, or business interruption, arising from your use of or inability to use the Platform, whether based on warranty, contract, tort, or any other legal theory.
Bluebird Renewable Energy's total aggregate liability to you for any claim arising from or related to these Terms or the Platform shall not exceed the total fees you have paid to Bluebird Renewable Energy in the twelve months preceding the claim. Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded or limited by law.
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Bluebird Renewable Energy is incorporated, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of that jurisdiction.
If you are accessing the Platform from a jurisdiction with mandatory consumer protection laws that provide you with greater rights than those set out here, those mandatory rights are not affected by these Terms.
Bluebird Renewable Energy may revise these Terms at any time. When we make material changes, we will update the "Effective date" at the top of this page and, where appropriate, notify registered account holders by email. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform.
